1. Acceptance of Terms

By accessing or using the scribeme.ai website, application, or services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and scribeme.ai ("we", "us", or "our").

2. Description of Service

scribeme.ai provides an AI-powered audio and video transcription platform. Our Service includes features such as automated transcription, filler word removal, AI-generated summaries, multi-format export options, and translation capabilities across 100+ languages. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration & Security

To use certain features of the Service, you must register for an account. You must be at least 16 years of age to create an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription Plans & Billing

We offer both free and paid subscription plans:

• Free Plan: $0 forever. Includes 5 audio minutes/month, 200MB upload limit, and 7-day file retention.
• Pro Ultra Plan: $19/month (or $15/month billed annually). Includes 1,200 minutes/month, 2GB upload limit, and 90-day file retention.
• Business Enterprise Plan: $49/month (or $39/month billed annually). Includes 3,600 minutes/month, 5GB upload limit, and 365-day file retention.

Automatic Renewal and Cancellation (FTC ROSCA / California ARL Disclosure):

By subscribing to a paid plan, you agree to recurring billing. Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel. We will charge your payment method the applicable subscription fee on a recurring basis. You may cancel your subscription at any time through your dashboard by navigating to Settings > Manage Subscription. Cancellations will take effect at the end of the current billing cycle, and you will not receive a refund for the remaining period of that cycle.

5. Intellectual Property

Your Content: You retain full ownership of all audio, video, and other data you upload to the Service ("User Content"), as well as the output transcripts generated from your User Content. You grant scribeme.ai a limited, worldwide, non-exclusive, royalty-free license solely to process, store, and modify your User Content to the extent necessary to provide the Service to you.

Our Property: scribeme.ai retains all rights, title, and ownership of the platform, underlying technology, software, algorithms, branding, and all related intellectual property. You may not copy, reverse-engineer, or create derivative works of our technology.

6. Acceptable Use / Prohibited Content

You agree not to use the Service for any unlawful or prohibited purpose. Specifically, you may not:

• Upload illegal recordings or content that violates wiretapping or eavesdropping laws (e.g., recording individuals without their consent where legally required).
• Upload Protected Health Information (PHI) subject to HIPAA regulations. scribeme.ai is not HIPAA compliant.
• Upload content that infringes upon the copyright, trademark, or intellectual property rights of others.
• Upload files containing malware, viruses, or any other harmful code.
• Use the Service to harass, abuse, or generate harmful or explicit material.

7. AI Disclaimer

The transcripts and summaries provided by scribeme.ai are generated using artificial intelligence and machine learning technologies. While we strive for high accuracy, the output is not guaranteed to be 100% error-free. It may contain inaccuracies, omissions, or misinterpretations, especially in cases of poor audio quality, heavy accents, or specialized terminology. You are solely responsible for reviewing and verifying the accuracy of the transcripts, particularly before using them for critical, legal, medical, or official purposes.

8. Limitation of Liability

To the maximum extent permitted by law, scribeme.ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. In no event shall our total aggregate liability for all claims related to the Service exceed the total amount of fees paid by you to scribeme.ai in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless scribeme.ai from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your User Content, your violation of these Terms, or your violation of any third-party rights (including intellectual property or privacy rights).

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. scribeme.ai expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

11. Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without reasonable notice. We will endeavor to provide notice of significant changes to paid subscriptions. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

13. Dispute Resolution

In the event of a dispute, you and scribeme.ai agree to first attempt to resolve it informally through good faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. However, either party may bring an individual action in small claims court if the claims qualify.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between scribeme.ai and you regarding the Service, superseding any prior agreements or understandings between you and scribeme.ai.
